Terms and Conditions

By accessing or using the ITB Management Services website (the “Site”) and/or engaging any of our IT management, consulting, support, or related services (“Services”), you (“you”, “Client”, or “user”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Site or engage our Services.

1. Acceptance of Terms

ITB Management Services (“we”, “us”, or “our”) provides this Site and the Services conditioned on your acceptance without modification of these Terms. Your continued use constitutes your agreement to these Terms, our Privacy Policy [link when available], and any other posted policies.

We reserve the right to modify these Terms at any time. Changes will be posted on the Site with an updated “Last Updated” date. Your continued use after changes constitutes acceptance of the revised Terms.

2. Description of Services

We provide information technology management services, including but not limited to:

  • Network monitoring and management
  • Cybersecurity services
  • Help desk and technical support
  • Cloud services management
  • IT consulting and strategy
  • Hardware/software procurement assistance
  • Backup, disaster recovery, and other related IT services

The specific scope, deliverables, fees, and timeline for Services will be set forth in a separate quote, proposal, statement of work (“SOW”), or service agreement (“Service Agreement”), which is incorporated herein by reference. In case of conflict, the Service Agreement prevails over these general Terms.

3. Client Responsibilities

You agree to:

  • Provide timely access to your premises, systems, data, passwords, and personnel as reasonably required
  • Maintain current software licenses and hardware warranties (unless otherwise agreed in writing)
  • Notify us promptly of changes in key personnel, network configuration, or security incidents
  • Use our Services only for lawful purposes and in compliance with all applicable laws
  • Not use the Services to transmit viruses, malware, or engage in any activity that could damage, disable, or impair our systems or others

4. No Unlawful or Prohibited Use

As a condition of using the Site and Services, you warrant that you will not use them for any unlawful purpose or in any manner prohibited by these Terms. This includes, but is not limited to, attempting to gain unauthorized access, interfering with system security, or harvesting user information.

5. Links to Third-Party Sites

The Site may contain links to third-party websites. These are provided for convenience only. We have no control over, and assume no responsibility for, the content, privacy practices, or availability of such sites.

6. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is owned by us or our licensors and protected by copyright, trademark, and other laws. You may view and print content for personal, non-commercial use only. Any other use requires our prior written consent.

Any deliverables, reports, configurations, or custom materials created as part of the Services remain our property until full payment is received (unless otherwise specified in the Service Agreement). Upon full payment, we grant you a non-exclusive, non-transferable license to use such deliverables for your internal business purposes.

7. Payment Terms

Fees, payment schedules, and expenses will be specified in the applicable Service Agreement or quote. Unless otherwise stated:

  • Invoices are due net 15 days
  • Late payments accrue interest at 1.5% per month or the maximum rate permitted by law
  • We may suspend Services for non-payment after 10 days written notice

8. Limitation of Liability & Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO US UNDER THE APPLICABLE SERVICE AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion/limitation of certain warranties or liability; these limitations may not apply to you.

9. Termination

We may terminate or suspend access to the Site or Services immediately, without notice, for breach of these Terms, non-payment, or any conduct we believe harms us, other clients, or third parties.

10. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Riverside County, California. You consent to the personal jurisdiction of such courts.

11. SMS / Email Communications (if applicable)

If you provide a phone number or email address, you consent to receive communications related to your account, Services, billing, security alerts, and occasional marketing messages. Message frequency varies. Message & data rates may apply. Reply HELP for support. Reply STOP to opt out of SMS. You remain responsible for any carrier charges.

12. Miscellaneous

  • Entire Agreement — These Terms (together with any Service Agreement) constitute the entire agreement.
  • Severability — If any provision is held invalid, the remainder shall remain in effect.
  • No Waiver — Failure to enforce any right does not waive that right.
  • Assignment — We may assign these Terms; you may not assign without our written consent.
